Terms of Service

1. The agreement

These Terms are an agreement between Studioperator (“we”, “us”) and the business or person that creates a studio account (“you”, the “Studio”). By creating an account or using the service you accept these Terms and our Privacy Policy. If you accept on behalf of a business, you confirm you are authorised to bind it. You must be at least 18.

2. The service

Studioperator is online software for running a photo or film studio: enquiries, quotations, projects, shoot calendar, post production, galleries, invitations, storage, payments, finance and reports. We may improve, change or remove features over time; we will give reasonable notice before removing anything you pay for that materially reduces the service.

3. Accounts and team members

• Keep your login details confidential. You are responsible for activity under your studio’s account.
• The studio owner controls who joins the studio and what each role can see and do. You are responsible for your team members’ use of the service and for removing access when someone leaves.
• Tell us promptly at studioperatorsupport@gmail.com if you suspect unauthorised access.

4. Trial, plans and billing

• New studios get a free trial. When it ends, you need a paid plan to keep using the service.
• Plans are billed monthly in advance, in Indian Rupees, plus applicable GST. Prices and each plan’s limits — storage, video streaming and face-search usage — are shown on our pricing page when you subscribe.
• Storage is one quota per studio that you can fill with any mix of photos and videos. If you reach a limit, new uploads or the metered feature pause until you upgrade, free up space or the next billing month begins; nothing you already stored is deleted because of it.
• We will give at least 30 days’ notice of a price change, effective from your next billing month.
• You can cancel at any time; your plan stays active until the end of the paid month. Fees already paid are not refundable, except where the law requires or we decide otherwise.
• If a payment fails, we may suspend the account after reminders. Your data is kept as described in section 10.

5. Your content

Everything you or your team put into Studioperator — client records, quotations, invoices, photos, videos, documents (“Your Content”) — remains yours. You give us a limited licence to host, copy, process, transmit and display Your Content only as needed to provide the service to you, including showing it on pages you choose to publish. We do not use Your Content for advertising or to train AI models.

You confirm that:

• You own Your Content or have the rights needed to upload it and share it through the service.
• You have a lawful basis, under the DPDP Act and any other applicable law, to collect and store the personal data of your clients, guests and crew, and to share it with us for processing.
• Before you enable gallery face search, you have the consent of the people in the photographs (and of a parent or guardian for children) to match their faces.

6. Client data we process for you

For personal data you store about your own clients and contacts, you are the data fiduciary and we are your data processor. We will: process it only to provide the service and on your instructions; keep it confidential; protect it with reasonable security safeguards; use only the sub-processors listed in our Privacy Policy; tell you without undue delay about a personal data breach that affects it; help you respond to requests from the people it relates to; and delete it when you close your account, as set out in section 10.

7. Pages you publish

Client portals, galleries, invitations and enquiry pages are visible to anyone with the link (and PIN, if you set one). You decide what to publish and to whom you send the link. You are responsible for the content of those pages and for how you respond to the enquiries and RSVPs they collect.

8. Acceptable use

You must not use the service to:

• Upload content that is illegal, infringes someone else’s rights, or is sexually explicit involving minors, defamatory, or obscene.
• Share private images of someone without their consent, or use face search to identify or track people outside a genuine client gallery.
• Send spam or unsolicited messages to people who have not dealt with your studio.
• Attempt to access another studio’s data, probe or overload the service, or get around plan limits or security controls.
• Resell or sublicense the service, or copy it to build a competing product.

We may remove content or suspend accounts that break these rules, and will tell you why unless the law prevents us. Where we must act on a valid legal order or complaint under the IT Act, we will do so within the required time.

9. Our property

The Studioperator software, design, logos and documentation belong to us. These Terms give you the right to use the service while subscribed; they do not transfer any ownership. If you send us feedback or ideas, we may use them without obligation to you.

10. Cancellation, suspension and your data

• You can close your account at any time by writing to studioperatorsupport@gmail.com.
• We may suspend or close an account for non-payment or a serious or repeated breach of these Terms.
• After closing, you have 30 days to ask for an export of Your Content. We delete it within 45 days, apart from records the law requires us to keep, such as billing and tax records.

11. Availability and backups

We work to keep the service available and to back up data, but we do not guarantee it will be uninterrupted or error-free. Planned maintenance will be scheduled to minimise disruption. Studioperator is not a replacement for keeping your own copies of original photos and videos — keep your source files backed up independently.

12. Third-party services

Some features rely on others’ services — for example Google sign-in, Google Drive folders you link, or WhatsApp and email apps opened from the app. Your use of those services is governed by their own terms, and we are not responsible for them.

13. Disclaimers and limitation of liability

Apart from what these Terms expressly promise, the service is provided “as is” and “as available”. Financial reports, GST figures and similar outputs are tools to help you; check them with your accountant before filing.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost bookings or loss of goodwill. Our total liability arising from these Terms in any 12-month period is limited to the fees you paid us in that period. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnity

You will compensate us for reasonable losses and costs arising from a third-party claim that Your Content, or your use of the service in breach of these Terms or the law, infringed their rights — including claims by your clients about their personal data or photographs.

15. Changes to these Terms

We may update these Terms. We will post the new version here and email account owners at least 15 days before a material change takes effect. If you continue using the service after that, the new Terms apply; if you don’t agree, you may cancel before then.

16. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute informally. Failing that, the courts of India have jurisdiction.

17. General

If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it. You may not transfer your account without our consent; we may transfer these Terms to a successor of our business. Neither party is liable for delays caused by events beyond its reasonable control.
